Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of cyberserge.com (the "Site") and any consulting, advisory, design, or engineering services provided by CyberSerge AI ("CyberSerge," "we," "our," or "us").

By accessing the Site or engaging with our services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or our services.

Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not:

  • Violate any applicable law, regulation, or third-party rights
  • Attempt to gain unauthorized access to any portion of the Site, servers, or related systems
  • Interfere with the operation of the Site or impose an unreasonable load on infrastructure
  • Use automated tools to scrape, harvest, or extract data without prior written consent
  • Submit false, misleading, or fraudulent information through any form

Services & Engagements

CyberSerge provides AI consulting, process analysis, system design, custom AI engineering, and ongoing optimization services. Specific deliverables, timelines, fees, and obligations are defined in a separate written agreement, statement of work, or proposal (the "Service Agreement") executed between CyberSerge and the client.

The Site itself does not constitute an offer to provide services. Materials posted on the Site — including case studies, pricing pages, and capability descriptions — are for informational purposes only and may be updated at any time without notice.

Any "complimentary analysis," "free audit," or similar offering is provided at our discretion. We may decline to engage with any prospect for any reason consistent with applicable law.

SMS Communications

If you provide your mobile phone number and consent to receive SMS messages through our website forms, we may use it to send you communications about your audit results, demo site, and follow-up. Message and data rates may apply. You can opt out at any time by replying STOP, UNSUBSCRIBE, CANCEL, END, QUIT, or STOPALL to any of our messages — opt-outs are honored immediately. We do not share your mobile number with third parties for marketing purposes.

Intellectual Property

Our content

All content on the Site — including text, graphics, logos, illustrations, code samples, methodology descriptions, and design — is owned by CyberSerge or its licensors and is protected by intellectual property laws. Except as expressly permitted, you may not reproduce, distribute, modify, or create derivative works from this content without our prior written consent.

Client deliverables

Ownership of custom AI systems, code, models, and other deliverables produced under a Service Agreement is governed by that agreement. CyberSerge retains ownership of any pre-existing tools, methodologies, frameworks, or reusable components contributed to a deliverable.

Feedback

Any feedback, suggestions, or ideas you submit about the Site or our services may be used by CyberSerge without obligation or compensation to you.

Confidentiality

Information shared during an engagement is governed by the confidentiality terms of the applicable Service Agreement or any signed non-disclosure agreement. We do not disclose client-specific operational details, processes, or proprietary information without permission.

AI Outputs & Limitations

AI systems we design and deploy are tools that augment — not replace — human judgment. Outputs from large language models, agents, retrieval systems, and other AI components may contain errors, omissions, or unexpected behavior, particularly in edge cases.

Clients are responsible for human-in-the-loop review of AI outputs in regulated, safety-critical, or legally sensitive contexts. CyberSerge implements evaluation, monitoring, and guardrails as part of its engagements, but does not warrant that AI outputs will be free from error in all circumstances.

Third-Party Services

Our work often integrates third-party services and platforms — including, without limitation, OpenAI, Anthropic, Microsoft Azure, AWS, Google Cloud, LangChain, Pinecone, Hugging Face, and similar providers. Your use of these third-party services is governed by their own terms of service and privacy policies. CyberSerge is not responsible for the availability, performance, or policies of third-party providers.

Fees & Payment

Fees for services are set forth in the applicable Service Agreement. Unless otherwise specified, invoices are due within 15 days of receipt. Late payments may incur interest at the lower of 1.5% per month or the maximum rate permitted by law. CyberSerge reserves the right to suspend services for accounts with overdue balances.

Disclaimers

THE SITE AND ANY INFORMATIONAL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CyberSerge makes no representations about the accuracy, completeness, or timeliness of materials on the Site. Information regarding services, methodologies, or capabilities is illustrative and subject to change.

Warranties applicable to paid engagements are set forth solely in the relevant Service Agreement.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYBERSERGE AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE OR ANY INFORMATIONAL CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. LIABILITY ARISING FROM PAID ENGAGEMENTS IS LIMITED AS SET FORTH IN THE APPLICABLE SERVICE AGREEMENT.

Indemnification

You agree to indemnify and hold harmless CyberSerge, its officers, employees, and affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any rights of a third party.

Governing Law & Disputes

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of those courts.

Disputes arising from a Service Agreement are governed by the dispute-resolution provisions of that agreement, which control over this Section to the extent of any conflict.

Changes to These Terms

We may update these Terms from time to time. When we do, the "Last Updated" date above will be revised. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
